1. Who we are

SADNAD (the "Service") is operated by Sadnad LLC ("we", "us", "our"). By accessing or using the Service, you are entering into a binding agreement with Sadnad LLC.

2. Acceptance of terms

By creating an account, accessing, or continuing to use the Service, you agree to be bound by these Terms & Conditions. If you do not agree, you must not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization. If you use the Service as an individual, you confirm that you are of legal age in your jurisdiction.

3. The Service

SADNAD is an audio analysis and music production tool. You upload audio and the Service uses automated and AI-assisted processing to identify sounds, plugins, presets and arrangement, and to generate a step-by-step blueprint to help you rebuild a track. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with your selected plan.

4. Acceptable use

You agree not to misuse the Service. In particular, you must not:

• use the Service for any unlawful, fraudulent, or harmful purpose;
• send spam or engage in deceptive or abusive activity;
• upload or generate content that infringes the intellectual property or other rights of any third party;
• interfere with or compromise the security or integrity of the Service, including by introducing malware, probing, or scraping;
• reverse engineer, resell, redistribute, or circumvent technical limits of the Service.

5. AI-generated output & your content

The Service relies on artificial intelligence and automated analysis. You are responsible for the audio and prompts you submit, for how you use the outputs, and for verifying that you hold the necessary rights to any content you upload. You must not use the Service to create illegal content, infringe third-party rights, or produce deceptive or harmful material.

You retain ownership of the content you upload. You grant us a limited license to host and process that content solely to provide the Service. Outputs generated by the Service are provided to you for your use, subject to these Terms and the rights of any third parties whose works are referenced.

Accuracy disclosure: AI-assisted analysis and outputs may be inaccurate or incomplete and should not be relied upon as definitive. You should independently verify results. If you believe content on the Service infringes your rights, contact us so we can review and, where appropriate, remove or restrict it. We reserve the right to moderate, filter, remove, or restrict content and to suspend accounts for repeated or serious infringement.

6. Intellectual property

The Service, including its software, documentation, design, and branding, is and remains the property of Sadnad LLC and its licensors. Nothing in these Terms transfers ownership of our intellectual property to you.

7. Service availability

We work to keep the Service reliable, but we do not guarantee that it will be uninterrupted, error-free, or available at all times. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

8. Payments & subscriptions

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payment, billing, tax, renewal, cancellation, and refund mechanics are governed by Paddle's Buyer Terms. Subscriptions renew automatically for the selected billing period until cancelled. See our Refund Policy for details on requesting refunds.

9. Suspension & termination

We may suspend or terminate your access to the Service for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. Upon termination, your right to use the Service ends. Where reasonable, we will provide an opportunity to export your data before deletion.

10. Liability

To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the fees you paid in the twelve months preceding the claim. We exclude liability for indirect, consequential, or special damages, including loss of profits, data, or goodwill. Nothing in these Terms excludes liability for fraud, death, or personal injury where such exclusion is prohibited by law.

11. Governing law

These Terms are governed by the laws of the jurisdiction in which Sadnad LLC is established, without regard to conflict-of-law principles.
